Terms of Service

1. Introduction and Agreement
These Terms of Service ("Terms") govern your access to and use of BIM Exchange, including bim.finance, exchange.bim.finance, and any related interfaces, applications, features, or services made available through the BIM ecosystem (collectively, the "Interface").
For purposes of these Terms, "BIM DAO" refers to the decentralized governance community supporting the BIM ecosystem, including governance participants and contributors involved in the development and evolution of BIM Exchange.
BIM Exchange is designed as a non-custodial, decentralized finance interface and aggregation layer providing users with access to blockchain protocols and third-party services.
Depending on the feature selected, BIM Exchange may provide access to:
- Token swaps;
- Cross-chain swaps;
- Blockchain bridges;
- Fiat on-ramp and off-ramp services;
- Staking;
- Liquidity provision;
- Bonds;
- Lending and borrowing;
- Other decentralized finance and Web3 services.
BIM Exchange generally does not take custody of users' digital assets, does not control users' private keys, and does not execute blockchain transactions without authorization from the user's wallet.
Certain optional third-party services may involve custodial or centralized infrastructure. Such services are provided independently and are subject to the relevant provider's own terms, privacy policies, compliance procedures, and regulatory obligations.
By accessing or using the Interface, you acknowledge that you have read, understood, and agreed to these Terms and the BIM Exchange Privacy Policy.
If you do not agree, you must not use the Interface.
2. Eligibility
You may use the Interface only if:
- You are at least 18 years old or have reached the legal age required in your jurisdiction;
- You have the legal capacity to enter into these Terms;
- Your use of the Interface is lawful in your jurisdiction;
- You are not subject to sanctions or restrictions prohibiting your use of the relevant services;
- You are not accessing the Interface on behalf of a sanctioned person or prohibited entity;
- You comply with all laws and regulations applicable to you.
Certain services, tokens, protocols, or features may not be available in all jurisdictions.
BIM Exchange may implement technical restrictions, wallet screening, geographic restrictions, or other measures where reasonably necessary for security, compliance, or third-party provider requirements.
You must not use VPNs, proxies, or similar technologies for the purpose of intentionally circumventing legally required geographic or compliance restrictions.
3. Nature of BIM Exchange
A. Non-Custodial Interface
BIM Exchange is designed as a non-custodial interface.
Unless explicitly stated otherwise for a specific third-party service:
- You maintain control of your wallet;
- BIM DAO does not possess your private keys;
- BIM DAO cannot independently move your assets;
- BIM DAO cannot recover lost private keys or seed phrases;
- Blockchain transactions require authorization through your wallet.
Never share your private key or seed phrase with BIM Exchange, BIM DAO contributors, support representatives, or anyone claiming to represent BIM.
B. Aggregation Layer
BIM Exchange may aggregate liquidity, pricing, routes, bridges, yield opportunities, payment providers, bonds, and other services from independent third-party protocols.
BIM Exchange may calculate or display potential transaction routes but does not guarantee that a particular route will remain available or execute at the initially displayed conditions.
C. Blockchain Infrastructure
Transactions may be executed through smart contracts or infrastructure deployed on independent blockchain networks.
BIM DAO does not control:
- Blockchain consensus;
- Validators;
- Sequencers;
- Network congestion;
- Gas prices;
- Block production;
- Forks;
- Third-party smart contracts;
- Third-party liquidity.
4. Fiat On-Ramp and Off-Ramp Services
BIM Exchange may integrate third-party fiat-to-crypto and crypto-to-fiat infrastructure.
These services may allow users to buy or sell digital assets using payment methods including, depending on provider and jurisdiction:
- Visa;
- Mastercard;
- Apple Pay;
- Google Pay;
- SEPA;
- Bank transfers;
- Faster Payments;
- ACH;
- PIX;
- PayID;
- iDEAL;
- Other international or local payment methods.
BIM Exchange acts as an interface or aggregation layer for these services.
Unless expressly stated otherwise, BIM DAO:
- Does not process users' card payments;
- Does not maintain payment accounts for users;
- Does not receive users' fiat funds for the purpose of purchasing cryptoassets on their behalf;
- Does not custody cryptoassets purchased through independent on-ramp providers;
- Does not determine whether a third-party provider accepts or rejects a transaction.
The actual service may be performed by independent on-ramp or off-ramp providers.
Those providers may impose:
- KYC requirements;
- AML checks;
- Sanctions screening;
- Transaction limits;
- Geographic restrictions;
- Payment fees;
- Exchange spreads;
- Additional compliance verification.
Before completing a transaction, you are responsible for reviewing and accepting the relevant third-party provider's terms.
5. Swaps and Liquidity Aggregation
BIM Exchange may aggregate decentralized exchanges and liquidity sources to identify routes for exchanging digital assets.
Displayed routes may take into account factors such as:
- Available liquidity;
- Expected output;
- Gas costs;
- Price impact;
- Slippage;
- Network conditions;
- Protocol fees;
- Routing complexity.
Quotes are indicative until the relevant transaction is executed.
Market conditions may change between the time a quote is displayed and the time a transaction is confirmed.
BIM DAO does not guarantee:
- A specific exchange rate;
- A specific execution price;
- Zero slippage;
- The continued availability of liquidity;
- Successful execution of every transaction.
6. Cross-Chain Swaps and Bridges
BIM Exchange may integrate independent cross-chain routing providers and blockchain bridges.
Cross-chain transactions involve additional risks, including:
- Smart contract risk;
- Bridge exploits;
- Validator or relayer failure;
- Liquidity shortages;
- Chain reorganizations;
- Delayed execution;
- Message-passing failures;
- Destination-chain outages;
- Failed or partially completed transactions.
Transaction completion times displayed through the Interface are estimates only.
BIM DAO does not control independent bridge infrastructure and cannot guarantee the completion time or outcome of a cross-chain transaction.
7. Refuel and Gas Features
BIM Exchange may provide optional functionality allowing users to receive native gas tokens on a destination blockchain as part of a cross-chain transaction.
Where available, such functionality may allocate part of the user's transaction amount or source-chain native token to provide gas on the destination chain.
The estimated amount may depend on current network conditions.
BIM Exchange does not guarantee that the gas amount provided will be sufficient for every future transaction.
Users remain responsible for verifying that they have sufficient native tokens to interact with the destination blockchain.
8. Privacy and Incognito Routing
BIM Exchange may provide optional privacy-enhancing transaction routes through third-party infrastructure.
Such functionality may allow a user to send assets from one wallet and receive them at another wallet without creating a direct on-chain link between the sending and receiving addresses.
Privacy routing:
- Is optional;
- Is not enabled by default;
- Does not guarantee anonymity;
- Is not necessarily based on encryption, zero-knowledge proofs, or on-chain mixing;
- May involve independent centralized or regulated infrastructure;
- May require longer execution times than standard blockchain routes.
Users may be required to provide a receiving wallet different from the sending wallet.
Third-party providers may perform compliance screening and, depending on the transaction or jurisdiction, may request KYC or additional information.
BIM Exchange does not guarantee that a privacy transaction cannot be identified through off-chain data, compliance systems, blockchain analytics, or information held by third-party providers.
9. Staking, Liquidity and Yield Products
BIM Exchange may provide access to staking, liquidity provision, vaults, or other yield-generating protocols.
Unless explicitly stated otherwise, users' assets are deposited directly into the relevant underlying smart contracts or protocols rather than being held by BIM Exchange.
Displayed APYs, APRs, rewards, and yield estimates:
- Are estimates;
- May change at any time;
- May depend on token prices and incentive programs;
- Are not guaranteed;
- Do not constitute promises of future returns.
Users accept all risks associated with the relevant underlying protocol.
These risks may include:
- Smart contract exploits;
- Impermanent loss;
- Validator slashing;
- Oracle failure;
- Token depreciation;
- Liquidity loss;
- Protocol insolvency;
- Governance changes;
- Reward reductions.
10. Bonds
BIM Exchange may provide access to third-party bonding infrastructure.
Bond opportunities may allow users to acquire digital assets at a discount subject to vesting, lockup, or other conditions.
Bond terms may include:
- Purchase price;
- Discount;
- Vesting duration;
- Claim schedule;
- Token availability;
- Maximum purchase amounts;
- Eligibility requirements.
Bonds may be provided through independent third-party protocols.
BIM DAO does not guarantee:
- The future value of bonded tokens;
- The profitability of a bond;
- Liquidity after vesting;
- Performance of the underlying project.
A displayed discount does not guarantee that a bond will be profitable.
11. Lending and Borrowing
BIM Exchange may provide access to third-party lending and borrowing protocols.
When using such services, users may be exposed to:
- Liquidation risk;
- Interest-rate changes;
- Collateral volatility;
- Oracle failures;
- Smart contract vulnerabilities;
- Liquidity shortages;
- Bad debt;
- Protocol governance changes.
Collateral requirements, liquidation thresholds, rates, and other parameters are determined by the relevant protocol.
BIM DAO does not guarantee that deposited collateral will retain its value or that liquidation will not occur.
12. Third-Party Services
BIM Exchange relies on or integrates independent infrastructure and services.
These may include:
- Decentralized exchanges;
- Bridges;
- Cross-chain aggregators;
- Payment providers;
- Wallet providers;
- Bond protocols;
- Staking protocols;
- Lending protocols;
- RPC providers;
- Blockchain explorers;
- Analytics providers;
- Security providers.
Third-party services operate under their own terms.
BIM DAO does not control and is not responsible for:
- Their availability;
- Their smart contracts;
- Their security;
- Their regulatory status;
- Their compliance policies;
- Their fees;
- Their data processing;
- Their transaction decisions;
- Their performance.
The inclusion of a protocol or provider within BIM Exchange does not constitute an endorsement, guarantee, or representation regarding its security or financial performance.
13. Wallets
BIM Exchange may be compatible with independent wallet software including browser wallets, mobile wallets, hardware wallets, and WalletConnect-compatible applications.
Your relationship with a wallet provider is governed by that provider's terms.
You are solely responsible for securing:
- Your wallet;
- Private keys;
- Seed phrases;
- Passwords;
- Devices;
- Hardware wallets;
- Authentication methods.
BIM DAO cannot restore wallet access or reverse unauthorized blockchain transactions.
14. Transaction Finality
Blockchain transactions are generally irreversible once confirmed.
Before approving a transaction, you are responsible for verifying:
- The selected network;
- Token;
- Amount;
- Recipient;
- Slippage;
- Fees;
- Destination chain;
- Smart contract permissions.
BIM DAO cannot cancel, reverse, modify, or refund a transaction that has been validly submitted to a blockchain or independent third-party provider.
15. Fees
Using BIM Exchange may involve multiple categories of fees.
These may include:
- Blockchain gas fees;
- Liquidity provider fees;
- DEX fees;
- Bridge fees;
- Cross-chain routing fees;
- On-ramp or off-ramp provider fees;
- Bond fees;
- Interface fees;
- Third-party service fees.
Where BIM Exchange charges an interface fee, it should be displayed or incorporated into the transaction information before execution where technically practicable.
Third-party fees may be determined independently by the relevant provider.
Network fees are paid to blockchain infrastructure participants and are not controlled by BIM DAO.
16. Price and Market Information
Prices, charts, APYs, transaction estimates, liquidity information, token information, and other data displayed through BIM Exchange may originate from third-party sources.
Such information may be:
- Delayed;
- Incomplete;
- Incorrect;
- Temporarily unavailable.
BIM DAO makes no guarantee regarding the accuracy or completeness of market information.
You should independently verify information before making financial decisions.
17. No Financial, Investment, Legal or Tax Advice
Nothing available through BIM Exchange constitutes:
- Financial advice;
- Investment advice;
- Legal advice;
- Tax advice;
- Accounting advice;
- A recommendation to purchase or sell any asset;
- A solicitation or offer of securities or financial instruments.
You are solely responsible for evaluating the risks associated with any transaction.
You should obtain independent professional advice where appropriate.
18. Risks of Digital Assets and DeFi
Digital assets and decentralized finance involve significant risks.
These include, without limitation:
- Complete loss of assets;
- Price volatility;
- Smart contract vulnerabilities;
- Hacks;
- Phishing;
- Rug pulls;
- Oracle manipulation;
- Governance attacks;
- Protocol insolvency;
- Stablecoin depegging;
- Regulatory changes;
- Network failures;
- Bridge exploits;
- Loss of wallet credentials;
- Malicious tokens;
- Front-running and MEV;
- Liquidity shortages.
By using BIM Exchange, you acknowledge that you understand and accept these risks.
Never interact with digital assets using funds you cannot afford to lose.
19. No Guarantee of Token Listings
The presence of a digital asset within BIM Exchange does not constitute:
- An endorsement;
- An investment recommendation;
- A guarantee of legitimacy;
- A guarantee of liquidity;
- A guarantee of future value;
- A representation regarding regulatory classification.
Tokens may be integrated, hidden, restricted, or removed from the Interface where appropriate.
20. Prohibited Uses
You must not use BIM Exchange to:
- Violate applicable laws;
- Launder money;
- Finance terrorism;
- Circumvent sanctions;
- Commit fraud;
- Steal digital assets;
- Distribute malware;
- Exploit vulnerabilities;
- Manipulate markets;
- Interfere with the Interface or underlying protocols;
- Impersonate another person;
- Attempt unauthorized access to infrastructure;
- Circumvent legally required geographic restrictions;
- Use automated systems in a manner that materially disrupts the Interface.
BIM Exchange may restrict access to the Interface where reasonably necessary to address security, legal, sanctions, abuse, or technical risks.
Restrictions at the Interface level do not necessarily prevent a user from interacting directly with permissionless blockchain smart contracts.
21. Compliance and Sanctions
BIM Exchange or integrated providers may implement compliance measures including:
- Wallet screening;
- Address screening;
- Sanctions screening;
- Geographic controls;
- Risk scoring;
- Fraud detection;
- Transaction monitoring.
Access may be restricted where required by applicable laws or third-party provider policies.
Certain third-party services may independently request identity verification or additional information.
BIM DAO does not control third-party compliance decisions.
22. DAO Governance
Certain decisions relating to BIM Exchange may be submitted to BIM DAO governance.
Governance mechanisms may include:
- Governance forum discussions;
- TEMP CHECK proposals;
- Snapshot votes;
- On-chain voting;
- Multisignature execution;
- Treasury governance.
Governance outcomes may influence:
- Protocol integrations;
- Fees;
- Treasury policies;
- Partnerships;
- Tokenomics;
- Grants;
- Product development.
Unless expressly stated otherwise, participating in BIM DAO governance does not create:
- Equity ownership;
- Shareholder rights;
- Employment rights;
- Partnership rights;
- Guaranteed financial returns.
Governance systems themselves may be subject to technical, economic, or voting risks.
23. BIM DAO Treasury
BIM DAO may maintain decentralized treasury assets governed through DAO mechanisms and/or multisignature wallets.
Treasury assets are separate from individual user assets.
The existence of a DAO treasury does not give users any direct ownership claim over specific treasury assets unless explicitly established through an applicable governance mechanism.
Treasury assets may be deployed into:
- Buyback programs;
- Liquidity;
- Protocol incentives;
- Strategic reserves;
- Grants;
- Partnerships;
- Yield strategies;
- Other initiatives approved through governance.
24. Intellectual Property and Open Source
Certain BIM smart contracts, software components, or libraries may be made available under open-source licenses.
Those components remain governed by the applicable open-source licenses.
The BIM name, BIM Exchange branding, logos, visual designs, documentation, website content, and other materials may be protected by intellectual-property rights held or licensed by relevant BIM ecosystem rights holders.
Except where permitted by applicable licenses, you may not use BIM branding in a manner that falsely implies sponsorship, endorsement, partnership, or official affiliation.
25. Interface Availability
BIM Exchange is provided on an "AS IS" and "AS AVAILABLE" basis.
The Interface may occasionally be:
- Unavailable;
- Interrupted;
- Delayed;
- Modified;
- Restricted;
- Subject to maintenance.
BIM DAO does not guarantee continuous availability.
Independent blockchain smart contracts may remain accessible even when the BIM Exchange Interface is unavailable.
26. Experimental and Beta Features
Certain features may be designated as experimental, beta, preview, or test functionality.
Such features may:
- Contain bugs;
- Be incomplete;
- Change without notice;
- Be temporarily unavailable;
- Be discontinued.
You use experimental features at your own risk.
27. Changes to the Interface
Features, protocols, chains, tokens, routing providers, fee structures, or other aspects of BIM Exchange may change over time.
Changes may result from:
- DAO governance;
- Technical upgrades;
- Security considerations;
- Third-party provider changes;
- Blockchain developments;
- Regulatory requirements;
- Product development.
Where appropriate, material governance decisions may be discussed or voted upon through BIM DAO governance.
28. Changes to These Terms
These Terms may be updated periodically.
The latest version will be made available through BIM Exchange or related BIM interfaces.
Material changes may also be communicated through governance, community channels, or other reasonable methods.
The effective date will be shown at the beginning of the Terms.
Continued use of the Interface after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.
29. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE INTERFACE AND ALL RELATED INFORMATION ARE PROVIDED "AS IS" AND "AS AVAILABLE."
NO WARRANTY IS MADE, EXPRESS OR IMPLIED, REGARDING:
- AVAILABILITY;
- ACCURACY;
- SECURITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- MERCHANTABILITY;
- NON-INFRINGEMENT;
- SMART CONTRACT SECURITY;
- THIRD-PARTY SERVICE PERFORMANCE;
- TRANSACTION EXECUTION;
- FINANCIAL RETURNS.
NO REPRESENTATION IS MADE THAT THE INTERFACE WILL BE FREE FROM ERRORS, VULNERABILITIES, INTERRUPTIONS, OR MALICIOUS ACTIVITY.
Nothing in these Terms excludes any warranty or right that cannot legally be excluded under applicable law.
30. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIM DAO, BIM ECOSYSTEM CONTRIBUTORS, GOVERNANCE PARTICIPANTS, DEVELOPERS, SERVICE PROVIDERS, AND OTHER PERSONS CONTRIBUTING TO THE INTERFACE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO USE OF THE INTERFACE.
This includes losses arising from:
- Asset price movements;
- Smart contract exploits;
- Third-party protocol failures;
- Bridge failures;
- Network outages;
- Lost private keys;
- Unauthorized wallet access;
- Failed transactions;
- Slippage;
- Liquidations;
- Lost yield;
- Third-party payment services;
- Regulatory actions;
- Malicious tokens.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
31. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless relevant BIM ecosystem contributors from claims, liabilities, losses, and reasonable expenses arising directly from:
- Your unlawful use of the Interface;
- Your violation of these Terms;
- Your infringement of third-party rights;
- Fraudulent or malicious activity conducted by you.
This provision does not apply where prohibited or restricted by mandatory law.
32. Geographic Restrictions
BIM Exchange is accessible through decentralized technologies, but this does not mean every feature is legally or technically available in every country.
Individual third-party providers may impose geographic restrictions.
Users are solely responsible for determining whether their use of a particular protocol or service is lawful in their jurisdiction.
BIM Exchange may restrict Interface access in particular jurisdictions where reasonably required for compliance, security, or provider requirements.
You must not intentionally circumvent legally required restrictions.
33. Taxes
You are solely responsible for determining and satisfying any tax obligations resulting from your blockchain activity.
BIM DAO does not provide tax advice and does not guarantee that transaction history displayed through the Interface is sufficient for tax reporting.
34. Force Majeure
BIM DAO and ecosystem contributors are not responsible for failure or delay resulting from circumstances outside reasonable control, including:
- Natural disasters;
- Wars;
- Civil disturbances;
- Cyberattacks;
- Internet outages;
- Government actions;
- Regulatory measures;
- Blockchain failures;
- Validator failures;
- Oracle failures;
- Third-party infrastructure outages.
35. Electronic Communications
By interacting with BIM Exchange or voluntarily providing contact information, you consent to receiving communications electronically where necessary for:
- Service-related information;
- Security notices;
- Governance information;
- Support communications;
- Legal or policy updates.
Marketing communications, where used, will be subject to applicable consent requirements.
36. Disputes and Applicable Law
Because BIM DAO operates through decentralized governance and contributors may participate from multiple jurisdictions, these Terms do not designate a single jurisdiction as universally applicable to every user.
Any dispute shall first be addressed through a good-faith attempt to reach an informal resolution where practicable.
Where a dispute cannot be resolved informally, the applicable law, competent jurisdiction, and available remedies will be determined according to the mandatory rules applicable to the parties and circumstances concerned.
Nothing in these Terms deprives a consumer of mandatory rights or protections that cannot legally be waived under applicable law.
37. No Partnership or Agency
Your use of BIM Exchange does not create any:
- Partnership;
- Joint venture;
- Agency;
- Fiduciary relationship;
- Employment relationship;
- Advisory relationship
between you and BIM DAO, governance participants, or BIM ecosystem contributors.
38. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary where legally possible.
The remaining provisions will remain effective.
39. No Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
40. Entire Agreement
These Terms, together with the BIM Exchange Privacy Policy and any additional terms expressly presented for a specific feature, constitute the terms applicable to your use of the Interface.
Independent third-party services remain governed by their respective terms.
